Statement of Work — SigmaShake Enterprise

1. Parties

2. Term

  • Initial term: 12 months from Effective Date, auto-renewing annually unless either party provides 30 days' written notice before renewal.
  • Speed-to-close clock: starts from date Provider delivers this SOW. Discount tier is locked at signing.

3. Scope of Work

Provider will deliver the following during the initial term:

  1. Fleet Tenant Provisioning — Dedicated Fleet control-plane tenant at [CLIENT].fleet.sigmashake.com, live within one business day of contract execution.
  2. SSO / SAML Integration — Assisted integration with Client's identity provider (Okta, Microsoft Entra, or any SAML 2.0-compliant IdP).
  3. Ruleset Migration — Migration of existing free-tier or Pro rulesets into Client's private ruleset store.
  4. Custom Adapter Development — Up to [N] custom agent adapters (e.g., internal tooling, proprietary AI stack). Additional adapters billed at time-and-materials.
  5. 30-Day Onboarding Support — Dedicated Slack channel, weekly 30-minute check-in, and a named Provider contact for the first 30 days post-go-live.

4. Fees and Discount Schedule

4.2 Speed-to-Close Bonus (first-year only)

4.3 Advocacy Discounts (permanent, stacks on renewals)

Each completed advocacy commitment earns a permanent 5% off every renewal year. Commitments not delivered by the deadline cause the corresponding discount to revert starting the next renewal.

Maximum permanent advocacy discount: 15% off every renewal.
Maximum combined first-year discount: up to 40%.


5. Advocacy Commitment Details

5.1 Logo Use

Client grants Provider a limited, non-exclusive, royalty-free license to display Client's wordmark and/or logo on sigmashake.com (customers / social proof section). Provider agrees to:

  • Use only logo assets supplied or approved by Client.
  • Submit placement for Client approval before publishing (response within 5 business days; silence constitutes approval).
  • Remove or update the logo within 5 business days of a written request from Client.

5.2 Customer Testimonial

Client agrees to provide a written testimonial (minimum 50 words, attributable to Client) describing their experience with SigmaShake. Provider may publish the testimonial on sigmashake.com and in marketing materials. Client may approve the final published text before publication.

Deadline: 30 calendar days after go-live date ([GO-LIVE DATE + 30]).

5.3 Collaborative Video / Podcast

Client and Provider agree to co-produce one (1) piece of video or audio content (minimum 15 minutes) to be published on the SigmaShake YouTube channel. Topic and format to be mutually agreed within 30 days of contract execution. Production completed and published within 90 days of contract execution.

7. Data Processing

Client and Provider agree that the SigmaShake Privacy Policy and Data Processing Addendum (DPA) are incorporated by reference. Where Client requires a countersigned DPA, Provider will execute one within 5 business days of request.


8. Intellectual Property

Provider retains all rights in the SigmaShake platform, engine, and tooling. Client retains all rights in Client's ruleset content, configuration data, and audit logs. Nothing in this SOW grants either party rights in the other's pre-existing IP.


9. Confidentiality

Each party agrees to keep the other's non-public technical, financial, and business information confidential and to use it only to fulfill obligations under this SOW. Confidentiality obligations survive termination for three years.


10. Term and Termination

  • Either party may terminate for material breach with 30 days' written notice and opportunity to cure.
  • Either party may terminate for convenience with 30 days' written notice before a renewal date.
  • On termination, Provider will make Client's audit logs and ruleset data available for export for 30 days, after which it may be deleted.
  • Speed-to-close and advocacy discounts previously applied are non-refundable once earned; pending advocacy commitments that have not been delivered will cause the corresponding discount to be invoiced pro-rata on the final invoice.

11. Limitation of Liability

Provider's total liability under this SOW shall not exceed the fees paid in the 12 months preceding the claim. Neither party shall be liable for indirect, incidental, or consequential damages.


12. Governing Law

This SOW is governed by the laws of [STATE / COUNTRY], without regard to conflict-of-law principles.
